Crypto giant Gemini prepares for IPO; citigroup and Goldman lead bookrunning

Global cryptocurrency platform Gemini Space Station, Inc. (“Gemini”) said today that it has submitted a registration statement on Form S-1 to the U.S. Securities and Exchange Commission (the “SEC”) about a planned IPO of its Class A common stock. The anticipated offering’s price range and the quantity of shares to be issued are still up in the air. There can be no guarantee about the completion date, the quantity, or the terms of the planned offering, since it is contingent on several market and other factors. On the Nasdaq Global Select Market, Gemini plans to list its Class A common stock with the ticker “GEMI.” The primary bookrunners are Citigroup and Goldman Sachs & Co. LLC. Cantor and Morgan Stanley are also serving as the primary bookrunners. Bookrunners include A Stifel Company, Rosenblatt, Keefe, Bruyette & Woods, Cohen & Company Capital Markets, Mizuho, Truist Securities, and Evercore ISI. Co-managers include AmeriVet Securities and Academy Securities.
